Senate Sponsors: DILLARD Short description: CORP NAMES-FICTITIOUS ADDRESS Synopsis of Bill as introduced: Amends the Business Corporation Act of 1983, General Not For Profit Corporation Act of 1986, Merger of Not For Profit Corporations Act, Limited Liability Company Act, Uniform Partnership Act, Revised Uniform Limited Partnership Act, and Assumed Business Name Act. Provides that foreign persons and foreign entities subject to these Acts may not in the conduct of their business intentionally misrepresent the geographic origin or location of the person or entity (i) with their assumed or fictitious name or (ii) with an Illinois or toll-free telephone number that is transferred to a business location outside Illinois. Subjects violators to certain penalties. HOUSE AMENDMENT NO. 2. Deletes everything. Amends the Business Corporation Act of 1983, the General Not For Profit Corporation Act of 1986, the Merger of Not For Profit Corporations Act, the Limited Liability Company Act, the Uniform Partnership Act, the Revised Uniform Limited Partnership Act, and the Assumed Business Name Act. Provides that a foreign corporation may not intentionally misrepresent in the conduct of its business the corporation's geographic origin or location by using an Illinois or toll-free telephone number that when called is forwarded or otherwise transferred to a business location outside Illinois. Provides that, with certain exceptions, a person shall not advertise or cause to be listed in a telephone directory an assumed or fictitious business name that intentionally misrepresents where the business is actually located or operating or falsely states that the business is located or operating in the area covered by the telephone directory. Provides that these provisions do not apply to any foreign entity organized under the laws of another state and doing business in Illinois under one of those Acts that has gross annual revenues in excess of $100,000,000. Provides that an entity that violates these provisions is guilty of a petty offense and must be fined not less than $501 and not more than $1,000 and is guilty of an additional offense for each additional day in violation of this Section. Provides that a foreign corporation may not use an assumed or fictitious name in the conduct of its business to intentionally misrepresent the geographic origin or location of the corporation within Illinois. SENATE AMENDMENT NO. 1. Further amends the Business Corporation Act of 1983, the General Not For Profit Corporation Act of 1986, the Merger of Not For Profit Corporations Act, the Limited Liability Company Act, the Uniform Partnership Act, the Revised Uniform Limited Partnership Act, and the Assumed Business Name Act. Deletes provisions prohibiting a foreign person or entity from intentionally misrepresenting in the conduct of its business the geographic origin or location of the person or entity on a sign, advertisement, or telephone listing by using and Illinois or toll-free telephone number that when called is forwarded or otherwise transferred to a business location outside of Illinois.
